Terms & Conditions
1. Acceptance of Terms
These Terms and Conditions govern your purchase and participation in the Brain First Engine program provided by FirstSelfie Brand Solutions (“FirstSelfie”, “we”, “us” or “our”).
By purchasing the program, signing the applicable proposal or service agreement, or commencing participation, you (“Client”, “you” or “your”) agree to these Terms and Conditions and the written scope of services, payment terms and guarantee conditions applicable to your purchase.
If there is any conflict between these Terms and Conditions and a separately signed service agreement, the signed agreement will prevail to the extent of the conflict.
2. Nature of the Service
Brain First Engine is a personalized, one-on-one, done-with-you business positioning and content implementation service designed for business owners, founders, coaches, consultants and other professionals seeking to use content to attract potential clients.
The program involves strategic guidance, personalized feedback, implementation support and accountability. It is not a passive course, done-for-you lead generation service or a guarantee of business revenue.
The program runs for 60 calendar days from the mutually agreed commencement date, subject to any written extension agreed by both parties.
3. Scope of Deliverables
Subject to the purchased package and written onboarding plan, FirstSelfie will provide the following:
- Competitive and market analysis relevant to the Client's business.
- Offer clarity and messaging refinement.
- Unique Value Proposition (UVP) development.
- Ideal Client Profile (ICP) definition.
- Ideal Viewer Profile (IVP) development.
- Content pillars and positioning architecture.
- A personalized 90-day content strategy.
- Content ideation and recommendations for relevant formats, topics and calls to action.
- Guidance on profile optimization and an appropriate lead-generation mechanism.
- Scheduled one-on-one strategy and implementation sessions, together with feedback and accountability as specified in the onboarding plan.
The number of sessions, session duration, communication channels, review limits, response times and any additional services will be documented in the applicable proposal or onboarding plan.
The 90-day content strategy is a forward-looking plan. It does not mean that FirstSelfie will provide 90 days of active implementation support unless expressly included in the purchased package.
Any services not expressly included in the written scope, including paid advertising, CRM implementation, landing-page development, additional video editing, website development or sales-team management, will require a separate written agreement and may involve additional charges.
4. Program Commencement and Client Onboarding
The Client must complete the onboarding requirements, provide accurate business information, share requested materials and attend the kickoff session.
The 60-day implementation period begins on the commencement date agreed in writing by both parties.
The Client has to submit the signature on the agreement within 7 days of sending it from the service provider side.
The Client must provide timely access to the relevant business information, content accounts, offer details, analytics and other materials reasonably necessary to deliver the service. Access credentials should be shared only through secure, appropriate methods.
Delays caused by incomplete onboarding, missing information, unavailable approvals or other Client-side dependencies may affect the implementation schedule and guarantee eligibility as described in Section 9.
5. Client Responsibilities and Implementation Requirements
Brain First Engine is a collaborative implementation program. FirstSelfie provides strategy and guidance, while the Client remains responsible for executing the agreed actions within their business.
To remain eligible for the performance guarantee, the Client must:
- Attend all mandatory one-on-one sessions identified in the written implementation plan.
- Attend sessions on time and complete any required preparation or pre-work.
- Follow the agreed implementation pipeline and milestone schedule communicated by FirstSelfie in writing.
- Provide requested information , approvals, feedback and business inputs within the specified deadlines.
- Record and publish the agreed content consistently , in accordance with the mutually agreed content calendar and publishing targets given by the service provider.
- Implement the agreed profile, offer, messaging, call-to-action and lead-capture recommendations , unless a change is approved in writing.
- Review, approve or request revisions to deliverables within the agreed review period.
- Follow up with incoming leads and maintain reasonable availability for qualified sales calls, and meta ads need to be published if required for the specific businesses as advised by the service provider.
- Maintain accurate records of content published, leads generated, appointments booked, attendance and relevant campaign activity, and provide reasonable supporting evidence when requested.
- Communicate foreseeable delays , operational difficulties or material changes to the business promptly.
The Client must not deliberately delay implementation, repeatedly fail to provide required approvals, disregard the agreed publishing plan or withhold information reasonably necessary for the program.
FirstSelfie will not require the Client to adopt a strategy that is unlawful, deceptive or otherwise inappropriate for the Client's business.
6. Attendance, Rescheduling and Missed Sessions
All sessions must be scheduled through the agreed booking process.
The Client must provide at least 24 hours' notice to reschedule a session, except where an emergency or other reasonable circumstance prevents such notice.
A session missed by the Client without timely notice may be treated as a missed session and may not be rescheduled. FirstSelfie is not required to provide unlimited replacement sessions or extend the program automatically.
If the Client misses a mandatory session, FirstSelfie will document the missed session and notify the Client of any resulting impact on the implementation schedule and guarantee eligibility.
Repeated non-attendance or failure to participate may render the Client ineligible for the performance guarantee where the missed participation materially prevents FirstSelfie from delivering the agreed implementation process.
A single missed session will not automatically extinguish statutory rights or override a remedy that is otherwise required by applicable law. Any exceptional circumstances will be considered reasonably and documented in writing.
If FirstSelfie must reschedule a session, it will offer a reasonable alternative appointment.
7. Content Approval and Publishing
FirstSelfie may provide content direction, scripts, outlines, hooks, feedback, calls to action and publishing recommendations as included in the package.
The Client is responsible for recording and publishing content unless production or publishing services are expressly included in the written scope.
The Client must review all content before publication and remains responsible for the accuracy of claims, professional representations, compliance with applicable laws and platform rules, and the suitability of content for their audience.
If the Client delays recording, rejects agreed content without a reasonable basis, fails to publish content, or repeatedly changes the strategy without mutual agreement, the resulting impact on lead generation and guarantee eligibility will be assessed under Section 9.
FirstSelfie will not be responsible for missed results caused by the Client's failure to publish or implement the agreed strategy.
8. Qualified Sales Calls — Definition and Measurement
For the purposes of the performance guarantee, a “Qualified Sales Call” means a genuine sales or discovery appointment with a prospective customer who meets the Client's written Ideal Client Profile and agreed qualification criteria.
Qualified sales call doesn’t mean the sales conversion, at the same time, converting the warm qualified leads into qualified sales call has to be taken care by the client, provided a strong lead follow up system should be followed by the client.
The qualification criteria must be recorded and approved by both parties during onboarding, before the performance measurement period begins.
Unless otherwise agreed in writing, a call must:
- Be with a prospective customer who is not merely a friend, employee, existing team member or test contact.
- Relate to the Client's relevant product or service.
- Meet the agreed minimum qualification criteria, including relevant need, suitability and buying intent.
- Be booked for a specific date and time through the agreed booking or scheduling mechanism.
- Be attributable to the content-led inbound system implemented during the program, based on reasonably available records.
The guarantee target is 10 distinct qualified sales appointments booked within the 60-day program period. A rescheduled appointment counts only once. Duplicate bookings, spam, test bookings and appointments that clearly do not meet the agreed qualification criteria will not count.
The Client must maintain reasonable records supporting the appointments and their source. FirstSelfie may request relevant booking records, CRM entries or other proportionate evidence to verify the count.
Unless the written onboarding plan expressly states otherwise, the guarantee concerns qualified appointments booked, not completed sales calls, proposals issued, customers acquired or revenue earned. Prospects may independently cancel or fail to attend.
9. Zero-Risk Guarantee and Eligibility
The Brain First Engine guarantee is conditional on the Client's meaningful participation and timely implementation of the agreed program.
9.1 Strategic Asset Delivery
FirstSelfie will work to deliver the strategic assets listed in Section 3 within the agreed implementation schedule.
If FirstSelfie fails to deliver the expressly agreed core strategic assets within the applicable guaranteed deadline for reasons within FirstSelfie's reasonable control, the Client may submit a written guarantee claim under Section 10.
The parties must record the applicable deadline for the core strategic assets in the onboarding plan. Any separate delivery guarantee, including a 15-day foundation deadline, applies only if expressly included in the signed proposal.
9.2 Qualified Sales Calls
Subject to the eligibility requirements in this section, FirstSelfie guarantees a target of 10 qualified sales appointments booked within the 60-day program period.
The performance guarantee applies only where the Client has:
- Completed onboarding and supplied the required information on time.
- Attended the mandatory sessions or complied with an agreed alternative arrangement.
- Completed the agreed implementation tasks and milestones within the notified deadlines.
- Published the agreed volume of content with reasonable consistency.
- Implemented the agreed positioning, offer, profile and lead-generation actions and follow up systems.
- Provided timely approvals and feedback.
- Followed the agreed lead-handling and appointment-booking process.
- Maintained the agreed qualification criteria and supplied reasonable records needed to verify the results.
- Paid the program fees in accordance with the agreed payment terms.
9.3 Client-Caused Delays or Non-Compliance
Where the Client materially fails to meet the above requirements, FirstSelfie will document the relevant missed obligations and notify the Client in writing, where reasonably practicable, so that the Client has an opportunity to correct the issue.
Where a material failure remains uncorrected, or makes fair measurement of the guarantee impossible, the performance guarantee may be unavailable to the extent that the failure materially contributed to the missed target.
Examples include repeated failure to publish the agreed content, failure to approve or supply essential materials, abandonment of the agreed pipeline, prolonged unavailability, or failure to follow the agreed appointment process.
FirstSelfie will not rely on an immaterial or unrelated breach to deny a guarantee claim. Eligibility will be assessed in good faith against the written requirements and available evidence.
9.4 Circumstances Outside Either Party's Reasonable Control
Significant platform outages, account restrictions not caused by FirstSelfie, material changes to the Client's business or offer, and other events beyond reasonable control may affect delivery or performance.
The parties will discuss a reasonable adjustment, including an extension where appropriate. Any adjustment to the guarantee or measurement period must be documented in writing. This provision does not automatically remove any remedy available under applicable law.
9.5 Limits of the Guarantee
The guarantee does not promise a particular revenue amount, conversion rate, profit, follower count, viral result or number of paying customers. These outcomes depend on multiple factors beyond FirstSelfie's control.
The guarantee is limited to the specific deliverables, appointment target, eligibility conditions and remedies expressly set out in these Terms and the signed proposal. It does not create an unlimited or unconditional refund entitlement for dissatisfaction with business outcomes.
10. Guarantee Claims, Refunds and Free Video Editing
A Client who believes they qualify for the guarantee must submit a written claim to firstselfie.official@gmail.com within seven calendar days after the end of the applicable guarantee period.
Eligibility Condition: For the Guarantee, primary important thing should be client has to complete the whole 60 days program without delay of any schedule and postings, must have attended all the sessions on time. As well as, client has to be complete paid whole payment agreed before commencement. Partial payment done during the tenure and requesting service provider to refund in the middle of the program in case of installment accepted by the service provider is not eligible for refund.
The claim must identify the guarantee relied upon, explain the alleged shortfall and include reasonably available supporting evidence, including the relevant implementation records and appointment records.
FirstSelfie will acknowledge the claim, review the documentation and communicate its decision and reasons in writing within 15 business days, where reasonably practicable. If additional information is required, FirstSelfie will identify it and provide a reasonable opportunity to respond.
Where a valid guarantee claim is accepted:
- Refund: FirstSelfie will refund 100% of the program fees actually paid for the covered program, in accordance with the applicable guarantee and subject to any non-excludable legal rights. The refund will be initiated within 15 business days after written approval of the claim. Bank or payment-provider processing times may vary.
- Strategic assets: The Client may retain copies of the strategy assets already delivered for their own internal business use, subject to the intellectual property terms in Section 11.
- Complimentary editing: In addition to the refund, FirstSelfie will provide professional editing for the Client's first 10 eligible video submissions at no additional editing fee, subject to the scope and conditions below.
The complimentary editing benefit includes editing of 10 videos supplied by the Client, using the agreed footage and a mutually agreed editing style. It excludes filming, travel, paid stock assets, third-party licensing fees, additional production, extensive reshoots and services not expressly included in the agreed editing scope.
The Client must supply usable footage, necessary assets and editing instructions within 30 calendar days after the refund approval, unless an alternative period is agreed in writing. FirstSelfie will communicate a reasonable delivery schedule for the edits. The parties will agree in writing on any revision limits and delivery specifications before editing begins.
The complimentary editing benefit is available only once for the covered program and is not transferable or redeemable for cash. The complimentary editing will be subjected to only 1-2 times of corrections before final submissions.
No refund or complimentary editing benefit will be provided solely because the Client did not achieve a preferred result where the applicable guarantee conditions have been met by FirstSelfie, or where the Client is ineligible under Section 9, subject always to applicable law.
11. Intellectual Property and Permitted Use
All pre-existing FirstSelfie intellectual property, including frameworks, methodologies, templates, systems, training materials, scripts, workflows and proprietary resources, remains the property of FirstSelfie or its respective licensors.
Upon payment, the Client receives a non-exclusive, non-transferable licence to use the delivered materials for the Client's own business purposes.
The Client may not resell, sublicense, republish, distribute, commercially exploit as a standalone product, or claim ownership of FirstSelfie's proprietary frameworks or confidential materials without prior written permission.
The Client retains ownership of their pre-existing materials and original business information. Ownership and permitted use of any specifically commissioned creative deliverables will be governed by the applicable proposal or separate written agreement.
Nothing in this section prevents the Client from using general business knowledge, independently developed materials or their own business strategy.
12. Confidentiality and Privacy
Each party agrees to use reasonable care to protect the other party's non-public business, commercial and personal information disclosed in connection with the program.
FirstSelfie will use the Client's contact details and business information to administer the program, communicate about the service, provide deliverables and fulfil legitimate operational or legal requirements.
Personal information will be handled in accordance with applicable privacy and data-protection laws and the applicable privacy notice. Information will not be sold to third parties. Information may be shared with service providers where reasonably necessary to deliver the service, subject to appropriate safeguards, or where disclosure is legally required.
FirstSelfie will not publish the Client's private business information, confidential results or identifiable testimonial without an appropriate legal basis or permission where required.
The Client must not disclose confidential FirstSelfie materials or another client's confidential information.
13. Call Recordings, Testimonials, Case Studies and Marketing Rights
13.1 Recording of Program Sessions
The Client acknowledges that FirstSelfie Brand Solutions (“FirstSelfie”) may record onboarding sessions, one-on-one strategy calls, implementation sessions and other program-related meetings for quality assurance, service documentation, internal review and improvement of the services provided.
FirstSelfie will inform the Client when a session is being recorded and will handle recordings in accordance with applicable privacy and data-protection laws and its applicable privacy notice.
13.2 Use of Recordings and Client Likeness
Subject to the Client’s applicable consent and rights under law, FirstSelfie may request permission to use selected portions of program recordings, including the Client’s image, likeness, voice, statements and video, for testimonials, case studies, educational content, promotional materials and marketing communications relating to FirstSelfie and its services.
Such use may include editing, extracting relevant excerpts, adding captions and publishing approved material on FirstSelfie’s website, social media accounts, presentations, advertisements and other marketing channels.
FirstSelfie will not publish an identifiable recording or excerpt for marketing purposes solely on the basis of the Client’s acknowledgment of these Terms where separate consent or authorization is legally required. Where required, FirstSelfie will obtain specific, documented marketing consent before publication.
13.3 Use of Specific Feedback and Statements
The Client acknowledges that individual statements, feedback or experiences shared during the program may be considered separately for testimonial or case-study purposes.
Where the Client provides positive feedback about a particular aspect of the program, FirstSelfie may seek permission to use that specific statement or relevant excerpt without representing it as an endorsement of the entire program or of outcomes the Client has not achieved.
Any published excerpt must remain materially accurate and must not be edited or presented in a way that misrepresents the Client’s meaning, experience or results. FirstSelfie will not fabricate statements, imply an endorsement that the Client did not make, or knowingly present an incomplete excerpt in a misleading manner.
13.4 Restrictions on Use
Except for the uses authorized under this section and any separate written authorization, FirstSelfie will not disclose or publish the Client’s private program recordings or confidential business information to unrelated third parties or use them for unrelated purposes.
FirstSelfie will take reasonable measures to protect recordings and restrict access to authorized personnel and service providers who need access for legitimate purposes.
13.5 Consent, Authorization and Withdrawal
By signing this agreement, the Client acknowledges the recording practices described in Section 13.1. Marketing use of identifiable recordings, image, voice, likeness or testimonials will be subject to the consent or authorization required by applicable law.
Where a separate marketing consent is required, the Client may grant or decline that consent independently of the purchase of the program. Refusal to provide optional marketing consent will not, by itself, affect the Client’s eligibility for the program, deliverables or any otherwise valid guarantee remedy.
The Client may withdraw marketing consent for future use by contacting FirstSelfie at firstselfie.official@gmail.com . Withdrawal will be handled in accordance with applicable law. It will not automatically require the recall of materials already lawfully published or distributed where retention or continued use is legally permitted, although FirstSelfie will take reasonable steps to address withdrawal requests as required by law.
13.6 No Mandatory Positive Testimonial
The Client is not required to provide a positive testimonial, endorse FirstSelfie, or authorize optional marketing use of their image, voice or recordings as a condition of receiving the service or obtaining a valid refund under the applicable guarantee.
13.7 Ownership and Limited Licence
The Client retains their rights in their own image, likeness, voice and personal statements, subject to applicable law. Any permission granted to FirstSelfie under this section is limited to the purposes, channels and scope authorized by the Client and applicable law. This section does not transfer ownership of the Client’s identity or personal rights to FirstSelfie.
14. Fees, Payment Terms, Instalments, Suspension and Outstanding Dues
14.1 Program Fees and Payment Schedule
The total program fee, applicable taxes, payment method, payment deadlines and any approved installment arrangement shall be specified in the signed proposal, service agreement, invoice or other written payment schedule accepted by both parties.
The Client agrees to pay all amounts due in accordance with the agreed payment schedule. Where the program fee is payable in installments, each instalment shall constitute a contractual payment obligation on its specified due date, subject to the terms of the agreement and applicable law.
The installment arrangement is provided solely as a payment facility and does not reduce the total agreed program fee, change the scope of services, extend the program duration or modify the applicable guarantee unless expressly agreed in writing by FirstSelfie.
The Client shall not unilaterally defer, reduce, cancel or withhold a scheduled instalment solely because of dissatisfaction with business performance, a perceived lack of commercial results, a change in business priorities or a decision not to continue implementing the agreed strategy. This provision does not restrict any valid contractual defence, agreed adjustment or statutory right available to the Client.
14.2 Payment Due Dates and Seven-Day Grace Period
Every instalment must be paid on or before its agreed due date.
FirstSelfie may allow a grace period of up to seven (7) calendar days from the original due date for an overdue instalment. This grace period is a limited accommodation and does not change the original payment obligation or due date.
During the grace period, FirstSelfie may, at its discretion, continue limited activities or suspend activities that require further expenditure, substantial work or additional resource allocation.
If the outstanding instalment remains unpaid at the end of the seven-day grace period, FirstSelfie may suspend further program services, including strategy sessions, implementation support, reviews, feedback, deliverable development and other activities under the program, until the overdue amount is paid or an alternative arrangement is agreed in writing.
The Client acknowledges that the grace period is not an automatic entitlement to an additional seven days for every instalment and does not waive FirstSelfie's right to enforce the agreed payment schedule.
14.3 Exceptional Extension of Payment Deadline
Where the Client experiences a genuine and exceptional difficulty affecting their ability to make a scheduled payment, the Client must notify FirstSelfie in writing as early as reasonably possible and explain the circumstances and the proposed payment date.
FirstSelfie may, at its sole discretion and following reasonable consideration of the circumstances, grant one additional extension of up to ten (10) calendar days beyond the initial seven-day grace period.
Any such extension must be expressly approved in writing by an authorized representative of FirstSelfie. A request for an extension, a verbal discussion or the absence of an immediate response from FirstSelfie shall not constitute approval.
Unless FirstSelfie confirms otherwise in writing, the original program commencement date, expiry date, payment obligations and other contractual timelines will remain unchanged during an approved extension.
An extension granted for one instalment shall not automatically apply to subsequent instalments or create a continuing entitlement to defer payment.
14.4 Suspension of Services for Non-Payment
If an instalment remains unpaid after the applicable grace period or any expressly approved extension, FirstSelfie may suspend program services without being required to continue providing sessions, reviews, implementation assistance or other ongoing support during the suspension.
FirstSelfie will ordinarily notify the Client in writing of the outstanding amount, the suspension and the steps required to reactivate the service.
A suspension under this section does not, by itself, cancel the agreement, waive outstanding payment obligations or automatically entitle the Client to a refund.
The Client shall remain responsible for amounts properly due under the agreement, subject to any applicable contractual adjustment or legal right.
14.5 Program Duration Continues During Payment Suspension
The Brain First Engine program is a time-bound engagement with a fixed commencement date and expiry date, as specified in the signed proposal or onboarding plan.
Unless FirstSelfie expressly agrees to an extension in writing, the original program period shall continue to run during any payment-related suspension, including periods in which the Client does not receive active support because of overdue payments.
A payment suspension shall not automatically pause, reset, restart or extend the original 60-calendar-day program period.
For example, if the Client's services are suspended because an instalment remains unpaid and the Client makes the overdue payment 25 calendar days after the original due date, the Client will ordinarily be entitled only to the unexpired portion of the original program period. The period already elapsed will not be restored merely because payment has subsequently been received.
FirstSelfie may consider an alternative schedule or extension where exceptional circumstances justify it, but any such arrangement must be agreed in writing.
14.6 Reactivation Following Delayed Payment
Upon receipt and confirmation of the outstanding payment, FirstSelfie may reactivate the services for the remaining portion of the original program period, subject to reasonable scheduling availability and completion of any outstanding administrative requirements.
Reactivation does not create an entitlement to repeat completed sessions, recover missed sessions, obtain additional deliverables beyond the agreed scope, or extend the guarantee period automatically.
Where the original program period has expired before the outstanding payment is received, payment of the overdue instalment alone shall not automatically revive the expired program.
In that situation, the Client may request a new engagement. Any renewed or restarted service will require a new written proposal or agreement, confirmation of the revised scope and timelines, and payment of the applicable fees at FirstSelfie's then-current pricing, unless the parties expressly agree otherwise in writing.
Any amount already paid or outstanding under the earlier agreement shall be accounted for in accordance with that agreement and applicable law. A new engagement will not automatically waive or extinguish an existing debt.
14.7 No Automatic Extension of the Guarantee
The program's guarantee, including any applicable deliverable deadline, performance target, eligibility requirements and claim deadline, shall be governed by the separate guarantee provisions in this agreement.
A delay in payment, suspension of services, delayed reactivation or failure by the Client to complete the agreed implementation activities shall not automatically extend the guarantee period.
Where the Client's material non-payment or non-participation prevents implementation or verification of the agreed performance target, guarantee eligibility will be assessed under the applicable guarantee terms, based on the documented circumstances and subject to applicable law.
FirstSelfie shall not retrospectively change the guarantee conditions or introduce new eligibility requirements after the Client has purchased the program.
14.8 Client Dissatisfaction and Payment Obligations
The Client acknowledges that Brain First Engine is a strategic and implementation service and that commercial outcomes depend on several factors, including market conditions, offer quality, audience response, execution, publishing consistency and sales follow-up.
A difference between the Client's subjective expectations and the agreed scope of services does not, by itself, cancel a payment obligation.
The Client is encouraged to raise concerns about service quality, delivery timelines or scope in writing so that FirstSelfie can review the concern and, where appropriate, address it in accordance with the agreement.
Where the Client believes that FirstSelfie has materially failed to deliver an expressly agreed service, the parties shall address the issue in good faith under the applicable contractual provisions. Nothing in this section removes any remedy or right available to either party under applicable law.
A disagreement about expected revenue, sales conversions, audience growth or other business outcomes shall be assessed against the actual written scope and any express guarantee applicable to the program, rather than an assumption that commercial success is assured.
14.9 Outstanding Amounts and Recovery of Dues
If an amount remains overdue after the applicable grace period and any approved extension, FirstSelfie may issue a written payment reminder or formal demand identifying the amount outstanding, the original due date and the payment deadline.
If the Client continues to default, FirstSelfie may pursue lawful contractual and legal remedies to recover amounts properly due, including issuing a formal legal notice through an authorized representative or legal counsel and initiating appropriate recovery proceedings before a competent forum where justified.
Any interest, late-payment charge, reasonable recovery expense or legal cost may be claimed only where supported by the agreement and permitted by applicable law. No penalty, charge or cost shall be treated as automatically payable merely because FirstSelfie asserts it.
The Client agrees to cooperate reasonably in resolving genuine billing discrepancies and to communicate any bona fide dispute concerning an invoice promptly, with relevant details and supporting information.
FirstSelfie reserves the right to maintain records of invoices, payment reminders, written extensions, services delivered, sessions attended, deliverables supplied and other relevant communications for legitimate contractual, accounting and legal purposes.
14.10 Taxes and Invoices
All program fees shall be subject to applicable taxes, including Goods and Services Tax (GST), where legally chargeable. Tax invoices and related documentation shall be issued in accordance with applicable requirements.
The Client shall provide accurate invoicing details and any information reasonably required for tax compliance. Any applicable tax treatment, withholding obligation or deduction required by law shall be handled in accordance with the relevant statutory provisions.
14.11 No Waiver of Legal Rights
Nothing in this section shall be interpreted as authorizing FirstSelfie to disregard applicable law, impose an unlawful penalty, retain amounts that must legally be refunded, or deny a remedy that cannot lawfully be excluded.
Similarly, nothing in this section entitles the Client to unilaterally cancel a valid payment obligation, extend the program indefinitely or demand additional services outside the agreed scope without FirstSelfie's written agreement.
The parties agree to interpret and apply this section consistently with the signed agreement and applicable laws of India.
14.12 Commencement of Services and Cancellation Before and After Commencement
14.12.1 Definition of Commencement
For the purposes of this Agreement, the program shall be considered commenced when FirstSelfie has prepared and sent the Client the personalized onboarding questionnaire for completion, following confirmation of the Client's purchase and receipt of the applicable initial payment.
The date on which the questionnaire is sent to the Client's designated email address or agreed communication channel shall be treated as the commencement date, provided FirstSelfie can reasonably demonstrate that it was sent.
Preparation and delivery of the onboarding questionnaire constitutes the commencement of the contracted onboarding process, even if the Client has not yet completed or returned the questionnaire.
14.12.2 Cancellation Before Commencement
If the Client requests cancellation in writing before FirstSelfie has prepared and sent the onboarding questionnaire, FirstSelfie shall assess the cancellation and any refund in accordance with the agreed payment terms, the disclosed cancellation policy and applicable law.
Where a full refund is applicable, FirstSelfie shall refund the amount paid in accordance with the applicable refund procedure.
14.12.3 Cancellation and Refund After Commencement
Once the onboarding questionnaire has been prepared and sent to the Client, the program shall be treated as commenced, and FirstSelfie may have incurred preparation costs and allocated resources specifically to the Client.
If the Client requests cancellation within three (3) calendar days of commencement, the request shall be assessed in accordance with the agreed service scope, work undertaken, applicable contractual terms and applicable law. The Client shall not be automatically entitled to a full refund solely because they subsequently decide not to complete the questionnaire, participate in the program or continue with the services.
Where a refund is contractually or legally due following a cancellation request made within this three-day period, FirstSelfie may retain up to ten percent (10%) of the total agreed program fee as a cancellation and administrative charge, provided that the amount retained is reasonable, contractually agreed and legally recoverable under the circumstances.
Once three (3) calendar days have elapsed from the commencement date, FirstSelfie shall not ordinarily initiate a refund for voluntary cancellation by the Client. This restriction does not exclude or limit any refund or other remedy required under applicable law, arising from FirstSelfie's material failure to fulfil its contractual obligations, or available to the Client under an express guarantee agreed between the parties.
14.12.4 Client Acknowledgment
By accepting this Agreement and making payment, the Client acknowledges that the onboarding questionnaire is the defined commencement milestone and that the program's cancellation and refund treatment may differ before and after that milestone.
The Client further acknowledges that the commencement date, program duration, instalment obligations and any applicable guarantee period are governed by the relevant provisions of this Agreement. Commencement does not authorize FirstSelfie to disregard any applicable statutory rights or obligations.
15. Cancellation and Termination
The Client may request cancellation by sending written notice to firstselfie.official@gmail.com .
Because the program involves personalized services, scheduled sessions and work undertaken specifically for the Client, cancellation and any applicable refund will be assessed against the services performed, the written agreement, applicable law and any valid guarantee.
FirstSelfie may suspend or terminate the service for material non-payment, serious misconduct, unlawful requests, misuse of proprietary materials or a material breach that remains unresolved after written notice and a reasonable opportunity to remedy it, where appropriate.
Where FirstSelfie terminates the service without Client breach or is unable to provide the contracted service, the parties will determine the appropriate refund or other remedy in accordance with the agreement and applicable law.
Nothing in this section excludes a consumer's non-waivable rights or remedies.
16. No Guarantee of Revenue or Business Success
FirstSelfie provides strategic and implementation support based on the information available at the time of delivery.
Past performance, testimonials, case studies, audience growth and examples of client success are illustrative and do not establish that another client will achieve identical outcomes.
Except for the express written guarantee in Section 9, FirstSelfie does not guarantee sales revenue, profits, customer acquisition costs, conversion rates, audience growth or commercial success.
The Client remains responsible for business decisions, pricing, fulfilment, customer service, sales conversations, compliance and the final use of the strategies provided.
17. Limitation of Liability
To the extent permitted by applicable law, each party will be responsible for its own acts and omissions.
Neither party will be liable for indirect or consequential loss to the extent such exclusion is lawful and enforceable. Nothing in these Terms excludes liability that cannot lawfully be excluded, including applicable remedies for fraud, wilful misconduct or other non-excludable liability.
Nothing in this section limits the express refund or complimentary editing remedy promised under a valid guarantee claim.
18. Changes to the Program
FirstSelfie may make reasonable operational adjustments to tools, workflows or delivery methods where necessary, provided such adjustments do not materially reduce the contracted core deliverables or invalidate the express guarantee without the Client's written agreement.
Any material change to scope, fees, timelines, the guarantee or eligibility requirements must be agreed in writing by both parties.
19. Disputes and Governing Law
These Terms and Conditions are governed by the laws of India.
If a dispute arises, the parties will first attempt to resolve it through good-faith written communication and a discussion between authorized representatives.
If the dispute remains unresolved, either party may pursue the remedies available under applicable law before a competent forum. Nothing in these Terms restricts a consumer's right to approach a competent consumer forum where legally available.
Any jurisdiction clause in a separate signed agreement will apply only to the extent it is lawful and enforceable.
20. General Provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.
A failure to enforce a provision on one occasion does not constitute a permanent waiver of that provision.
These Terms, together with the signed proposal, onboarding plan, payment schedule and any written guarantee addendum, constitute the agreement between the parties regarding the program.
No verbal representation will amend the written guarantee unless confirmed in writing by authorized representatives of both parties.
